1Acceptance of Terms

By creating an account or using Smoothly.me (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a binding legal agreement between you and Smoothly.me, LLC ("Smoothly," "we," "us," or "our").

You must be at least 18 years of age to use the Platform. By accepting, you represent that you meet this requirement.

2Description of Service

Smoothly is an AI-powered interpersonal communication platform. We provide AI-generated response suggestions — built on real, assessed human communication skill — to help users navigate conversations more effectively. Smoothly is a coaching and communication tool. It is not a dating service, does not facilitate matches, does not provide psychological, medical, or clinical services, and is not affiliated with any third-party platform or application.

The Platform includes:

• AI response generation powered by official Smoothly agents and creator-built Communicator Agents
• A Creator Marketplace where Verified Smoothly Communicators publish AI Communicator Agents
• A Communication Skill Verification assessment grounded in peer-reviewed interpersonal communication research
• A token economy for purchasing AI responses
• Smoothly Plus subscription for enhanced access
• A referral program and community platform
• Verona (formerly XION) blockchain integration for on-chain token management (see Section 11)

3Accounts and Registration

You must provide accurate information when creating your account, including a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Smoothly uses Firebase Authentication (Google) to manage account security. You agree to notify us immediately at admin@smoothly.me if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the Platform in any way.

4SMTHLY Tokens

SMTHLY tokens ("Tokens") are digital credits used solely within the Smoothly Platform to purchase AI-generated responses. Tokens are not currency, not a security, not an investment, and have no monetary value outside the Platform. Tokens cannot be cashed out, redeemed for money, or transferred between users.

• Purchases: Token bundles are purchased via Stripe. Current bundle names and pricing are displayed on the Platform at the time of purchase.
• Purchase Completion: For one-time Token purchases, your payment method is authorized at checkout but is not charged until your Platform wallet is successfully set up and your Tokens are delivered. If wallet setup does not complete, the authorization is released and you are not charged.
• No Expiry: Purchased Tokens do not expire while your account remains active.
• Refunds: Because a one-time purchase is only charged upon successful delivery of Tokens, completed Token purchases are non-refundable except as required by applicable law or at Smoothly's sole discretion. If you are charged for Tokens that were not delivered due to a technical failure, contact admin@smoothly.me and we will refund or re-deliver.
• Pricing: Token bundle pricing and configurations may change. We will provide notice of material pricing changes.
• On-Chain Tokens: When the Verona (formerly XION) blockchain integration is active, your Token balance may also be reflected on the public blockchain. See Section 11.
• Error Correction and Balance Adjustment: Token balances may occasionally be affected by technical errors, duplicate or excess transfers, system malfunctions, or fraudulent or abusive activity. You authorize Smoothly to correct such errors and adjust your Token balance accordingly — including by reversing, reclaiming, or recovering Tokens that were credited or transferred in error, in excess of your entitlement, or as a result of fraud or abuse. Where Tokens have been recorded on-chain, you authorize Smoothly to initiate an on-chain transfer to effect the correction, as further described in Section 11. We will notify you by email when we make such a correction to your account, identifying the original transaction and the correction, except where notice would compromise an active fraud or security investigation. This right exists solely to maintain the accuracy and integrity of the Platform and is not a right to access your Tokens for any other purpose.

5Smoothly Plus Subscription

Smoothly Plus is a recurring subscription available at $12.99/month or $99.99/year. Subscriptions are processed by Stripe and renew automatically at the end of each billing period unless cancelled.

You may cancel at any time through your account settings or by contacting admin@smoothly.me. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for unused subscription time. Smoothly reserves the right to modify Smoothly Plus benefits or pricing with advance notice.

6Creator Program

Users who pass creator verification may publish AI Communicator Agents to the Marketplace. By participating as a Creator, you agree to the following:

• Verification: Communicator status requires successful completion of Smoothly's Interpersonal Communication Competence (ICC) assessment — a structured evaluation hosted by Dr. Perry Jones, an AI assessment agent. The assessment evaluates communication skill across dimensions of the ICC framework, drawing on published interpersonal-communication research. Smoothly is not affiliated with, and is not endorsed by, the cited researchers or their institutions. The assessment is a proprietary Platform eligibility screen; it is not a professional, clinical, or academic evaluation, and it does not certify real-world competence, professional qualification, or fitness for any purpose. Assessment scores and session transcripts are stored by Smoothly to validate and maintain your Communicator status.
• Revenue Share by Tuning Tier: Creators earn a percentage of tokens spent on their Agent. The percentage is determined by your Tuning Tier: Quick Launch (35%, default), Enhanced (37%, requires uploaded sample conversations reviewed by AI), Fine-Tuned (40%, requires 25–50 training examples). Earnings are converted to USD for payout.
• Standing Level: Separate from your Tuning Tier, Smoothly maintains a Standing Level (Verified / Battle Tested / Elitely Smooth) that reflects platform engagement — response ratings, copy rates, and how often users send your Agent's words. Standing Level affects badge visibility and discoverability in the marketplace, not revenue share. Promotions are determined automatically based on engagement metrics.
• Payouts: Earnings are paid via Stripe Connect. You must provide accurate payout information and comply with applicable tax obligations. Smoothly will issue 1099 tax forms as required by law.
• Referral Earnings Share: If you were referred by another creator, that creator receives a 5% share of your earnings for 90 days following your model publication.
• Content Standards: All Agent names, descriptions, training data, and communication style inputs are subject to content moderation. Prohibited content includes material that is discriminatory, harassing, sexually explicit, or otherwise harmful. Violations result in immediate removal and potential account termination.
• Fine-Tuning: Smoothly may use aggregated, anonymized patterns from creator training data to improve AI model quality. Individual user messages are not used for model training without explicit consent.
• Dormancy: Agents with no usage activity for 75 days receive a warning notification. Agents inactive for 90 days may be deactivated. Contact admin@smoothly.me to reactivate.
• Creator Badge: When Verona blockchain integration is active, verified creators receive an on-chain badge representing their tier. See Section 11.

7Referral Program

• Consumer Referral: When a user you refer makes their first token purchase, you receive a referral reward.
• Creator Referral: When a creator you refer publishes their AI Communicator Agent, you receive a referral reward.

Referral rewards are subject to change or discontinuation at any time. Fraudulent referral activity — including self-referrals or creating fake accounts — will result in reward forfeiture and account termination.

8Acceptable Use

You agree not to:

• Use the Platform to generate content intended to deceive, manipulate, harass, or harm others
• Use AI-generated responses in ways that violate the terms of service of any third-party platform or messaging application
• Reverse-engineer, scrape, or extract proprietary data or models from the Platform
• Share, sell, or transfer your account or token balance to another person
• Circumvent any Platform security measures or exploit the token economy
• Submit false, misleading, or manipulated information in the creator assessment process
• Engage in any activity that disrupts the Platform or harms other users

9AI-Generated Content Disclaimer

All responses generated by Smoothly are AI-generated suggestions. Smoothly does not guarantee the accuracy, appropriateness, or effectiveness of any AI-generated response, and does not guarantee any particular outcome from your use of the Platform. You are solely responsible for the messages you choose to send to others. Smoothly is a coaching tool — the decision to use any suggested response is entirely yours.

You acknowledge that you may choose to use the Platform in connection with sensitive, personal, or high-stakes conversations — including but not limited to romantic, family, workplace, financial, or conflict-related communications. Smoothly does not evaluate the suitability of any suggestion for your circumstances, cannot know the full context of your relationships, and is not responsible for any decision you make, any message you send, or any consequence arising from a communication you choose to send. You use the Platform, and any output from it, entirely at your own risk and discretion.

AI systems can produce content that is inaccurate, inappropriate, biased, or misleading. You are responsible for reviewing any AI-generated suggestion before using it, and for ensuring your use complies with applicable law and with the terms of any third-party platform on which you send a message.

10Third-Party Services

Smoothly integrates with the following third-party services. Your use of these services is subject to their respective terms and privacy policies:

Smoothly is not responsible for the practices, policies, or security of any third-party service.

11Blockchain Integration

When Verona (formerly XION) blockchain integration is active:

• A Verona blockchain wallet address is automatically created and associated with your account. This address is a pseudonymous identifier (e.g., xion1…) — it does not contain your name or email.
• Your SMTHLY token balance and token transaction history are recorded on the XION public blockchain and are publicly visible.
• Verified creators receive an on-chain badge representing their creator tier. This badge is publicly visible on the blockchain.
• Blockchain records are permanent and cannot be deleted or modified once written, due to the immutable nature of public blockchains.

Your name, email address, message history, and payment information are never published to the blockchain. By accepting these Terms, you acknowledge and consent to the on-chain recording of wallet address, token balance, and creator badge data as described above.

XION (now operating as Verona) provides gasless transaction capability — you will never be required to hold or spend any cryptocurrency to use Smoothly.

Wallet Authorization: When you link a blockchain wallet, you grant Smoothly a limited authorization to transfer SMTHLY Tokens to and from your associated wallet address on your behalf, solely for legitimate Platform operations. This authorization enables routine functions such as crediting purchased Tokens, releasing creator earnings, and processing in-Platform Token spend, and it also enables Smoothly to correct errors and recover Tokens transferred in error, in excess of your entitlement, or as a result of fraud or abuse, as described in Section 4. This authorization is limited to SMTHLY Tokens, is time-limited, and is renewed when you re-link your wallet. Smoothly cannot and will not use this authorization to access any other assets in your wallet. You may disconnect your wallet at any time through your account settings, which ends this authorization on a going-forward basis.

12Intellectual Property

Smoothly property. All Platform content, branding, code, design, and AI model architecture is owned by Smoothly.me, LLC.

Creator content. "Creator Content" means any material you submit to the Platform as a Creator, including Agent names, descriptions, profile images, training data, style inputs, model configurations, and assessment responses. As between you and Smoothly, you retain ownership of your Creator Content.

License you grant to Smoothly. By submitting Creator Content, you grant Smoothly a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, cache, index, adapt, format, publicly display, publicly perform, distribute, and otherwise use your Creator Content, in whole or in part, for the purposes of operating, providing, securing, moderating, promoting, and improving the Platform, including displaying your Agent in the Marketplace and generating AI responses from it. This license continues for as long as your Creator Content remains on the Platform and for a commercially reasonable period thereafter to the extent necessary for backup, legal, audit, safety, and dispute-resolution purposes.

Your representations. You represent and warrant that you own or have all rights necessary to submit your Creator Content and to grant the license above; that your Creator Content does not infringe or misappropriate any third party's intellectual property, privacy, publicity, or other rights; and that your Creator Content does not contain confidential information or personal information of any third party that you are not authorized to share. You agree to indemnify and hold Smoothly harmless from any claim arising from your Creator Content or your breach of these representations.

Moderation and removal. Smoothly may review, screen, moderate, refuse, restrict, disable, remove, or delete any Creator Content at any time, with or without notice, in its sole discretion — including content that violates these Terms, is unlawful or infringing, is the subject of a complaint, or that Smoothly determines poses a risk to the Platform or its users. Smoothly has no obligation to monitor Creator Content, and any moderation it performs does not create such an obligation.

Retention. Smoothly may retain copies of Creator Content after removal or account termination where reasonably necessary to comply with law, enforce these Terms, resolve disputes, maintain security, or as retained in routine backups.

Feedback. Any suggestions or feedback you provide about the Platform may be used by Smoothly without restriction or obligation to you.

AI-generated responses. AI-generated responses produced through the Platform are provided to you for personal use. You may freely use them in your personal communications. Smoothly claims no ownership over messages you choose to send.

13Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SMOOTHLY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, OR EFFECTIVE FOR YOUR PURPOSES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMOOTHLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO SMOOTHLY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

SMOOTHLY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

14Termination

You may delete your account at any time by contacting admin@smoothly.me. Upon deletion, your personal data will be removed within 30 days, subject to legal retention requirements. Unused purchased Tokens are forfeited upon voluntary account deletion. On-chain blockchain data cannot be removed due to the immutable nature of public blockchains.

Smoothly may suspend or terminate your account immediately and without notice for any material violation of these Terms, fraudulent activity, or conduct harmful to the Platform or other users. Termination for cause does not entitle you to a refund of purchased Tokens.

15Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of Smoothly shall be resolved by binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

BY USING THE PLATFORM, YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

16Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Platform at least 14 days before changes take effect. Continued use after the effective date constitutes acceptance. If you do not agree to revised Terms, you must stop using the Platform.

18Copyright Policy (DMCA)

Smoothly respects the intellectual property rights of others and expects its users to do the same. It is our policy to respond to clear notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512.

Notice of alleged infringement. If you believe that material on the Platform infringes your copyright, you may send a written notice to our Designated Copyright Agent (below). To be effective, your notice must include substantially the following:

1. A physical or electronic signature of the copyright owner, or a person authorized to act on their behalf;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material claimed to be infringing, and information reasonably sufficient to permit us to locate it on the Platform (for example, the Agent name, URL, or Creator username);
4. Your contact information, including address, telephone number, and email address;
5. A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and
6. A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Our response. Upon receipt of a compliant notice, Smoothly will expeditiously remove or disable access to the allegedly infringing material and will take reasonable steps to notify the Creator who submitted it.

Counter-notice. If you are a Creator and you believe your material was removed or disabled by mistake or misidentification, you may send a counter-notice to the Designated Copyright Agent including: your physical or electronic signature; identification of the material and its location before removal; a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; your name, address, and telephone number; and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, any judicial district in which Smoothly may be found), and that you will accept service of process from the person who provided the original notice or their agent. If we receive a valid counter-notice, we may restore the material as permitted under the DMCA.

Repeat infringers. Smoothly maintains a policy of terminating, in appropriate circumstances and at its sole discretion, the accounts of Creators and users who are determined to be repeat infringers. Smoothly may also, in its sole discretion, limit access to the Platform or terminate the account of any user who infringes the intellectual property rights of others, whether or not there is any repeat infringement.

Misrepresentation. Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or that material was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys' fees.
